By accessing or using the Services provided by 420 Music Distribution ("420 Music Distribution", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
To use certain features of the Services, you must create an account and provide accurate, current, and complete information. You represent and warrant that you are at least 18 years old, or the age of majority in your jurisdiction, and that you have the legal capacity to enter into binding contracts. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to promptly update your account information if it changes and to notify us immediately of any unauthorized use of your account or any other breach of security.
420 Music Distribution provides digital distribution services that enable you to deliver your sound recordings, artwork, metadata, and related content (collectively, "Content") to third-party platforms, including but not limited to streaming services, download stores, and social platforms (collectively, "Digital Stores"). We do not guarantee placement, promotion, or editorial support from any Digital Store.
By submitting Content to our Services, you grant 420 Music Distribution a non-exclusive, worldwide, transferable, sublicensable license to host, reproduce, distribute, transmit, publicly perform, publicly display, and otherwise use your Content solely for the purpose of providing and promoting the Services and delivering your Content to Digital Stores.
You retain all ownership rights in and to your Content, subject to the rights granted to 420 Music Distribution and the Digital Stores under these Terms and any additional agreements required by specific platforms.
You represent and warrant that: (a) you own or control all rights in and to the Content necessary to grant the licenses described in these Terms; (b) your Content does not infringe, misappropriate, or violate any copyright, trademark, moral right, privacy right, publicity right, or any other intellectual property or proprietary right of any third party; (c) you have obtained all necessary consents and clearances for any samples, featured artists, producers, writers, and other contributors; and (d) your Content and your use of the Services comply with all applicable laws and regulations.
You agree not to upload, distribute, or otherwise make available any Content that is unlawful, defamatory, obscene, hateful, deceptive, fraudulent, or that promotes violence, discrimination, or illegal activities. You also agree not to engage in streaming fraud, artificial manipulation of plays or views, or any other activity intended to distort reporting or royalties. We reserve the right to remove or disable access to any Content and to suspend or terminate accounts that violate these Terms or the policies of Digital Stores.
Unless otherwise agreed in writing, 420 Music Distribution will collect revenues from Digital Stores generated by your Content, deduct any applicable fees, commissions, chargebacks, taxes, and other authorized costs, and make the remaining amounts available to you in accordance with our payment schedule and minimum payout thresholds. Payment timelines may depend on when we receive accurate reporting and funds from the Digital Stores.
You are solely responsible for any taxes, duties, or other governmental charges associated with payments made to you. We may require tax forms or additional verification before releasing funds. If we suspect fraudulent activity, we may withhold payments while we investigate and may permanently withhold funds in cases of confirmed fraud or material breach.
Our Services rely on third-party Digital Stores and other partners that are not controlled by 420 Music Distribution. Your use of those platforms is subject to their own terms, policies, and technical requirements. We are not responsible for the availability, performance, or acts or omissions of any third-party platform, nor for any changes they may make to their services, payout practices, or content policies.
All rights, title, and interest in and to the Services, including our software, interfaces, trademarks, logos, and other materials, are owned by 420 Music Distribution or our licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our Services, nor may you reverse engineer or attempt to extract source code except as permitted by law.
420 Music Distribution respects the intellectual property rights of others and expects our users to do the same. If we receive a valid copyright complaint or takedown request (including under the Digital Millennium Copyright Act (DMCA) or similar laws), we may remove or disable access to the allegedly infringing Content and may provide your contact information to the complaining party as permitted by law. Repeated infringement or bad-faith claims may result in suspension or termination of your account.
These Terms apply from the moment you first use the Services and continue until terminated by you or by 420 Music Distribution. You may terminate your account at any time by following the instructions in your dashboard or by contacting us. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, engaged in fraud or abuse, or caused risk or potential legal exposure for us or others.
Upon termination, we may instruct Digital Stores to remove your Content. Certain provisions of these Terms, including those relating to payments owed, ownership, warranties, indemnification, and limitations of liability, will survive termination.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, 420 MUSIC DISTRIBUTION DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED, NOR DO WE WARRANT ANY PARTICULAR RESULTS, PLACEMENT, OR REVENUE FROM YOUR CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL 420 MUSIC DISTRIBUTION, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) ANY CONTENT OBTAINED VIA THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO 420 MUSIC DISTRIBUTION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless 420 Music Distribution and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your use of the Services; (b) your Content; (c) your violation of these Terms; or (d) your violation of any rights of another party, including intellectual property or privacy rights.
These Terms will be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
We may modify or discontinue all or part of the Services at any time, with or without notice. We may also update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempted assignment without such consent will be void. We may assign these Terms, in whole or in part, without restriction.
